Roolo Terms of Service

Last updated: October 28, 2026

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Roolo, including its desktop application, website, and related services (collectively, the "Services").

Roolo is developed and operated by ACLT-INC ("Roolo," "we," "us," or "our").

By downloading, installing, accessing, or using Roolo, you agree to these Terms. If you do not agree, do not download, install, or use the Services.

If you use Roolo on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.

2. The Roolo Private Beta

Roolo is currently offered as a private beta. This means the software is under development and is provided for testing, evaluation, and feedback.

During the private beta:

  • Features may be incomplete, changed, suspended, or removed.
  • Performance may vary depending on your computer's hardware and software configuration.
  • The application may contain bugs, errors, or unexpected behavior.
  • We may release updates that change how the application operates.

We do not guarantee uninterrupted availability, compatibility with every device, or that all features will function as intended.

You understand that you are using a product that is still being developed and agree to use it with these limitations in mind.

3. Beta Telemetry and Privacy

Participation in the Roolo private beta requires the collection of certain usage and technical performance data.

This data may include application usage frequency, feature usage, response times, processing speed, device specifications, resource consumption, and diagnostic information.

We use this information to evaluate continued usage, measure performance across different computers, identify technical issues, and improve Roolo.

Your conversations and personal memory are designed to remain on your computer. We do not collect or upload your conversation history or personal memory to our servers as part of beta telemetry.

When you request internet search functionality, the relevant search query is transmitted to our search API provider to fulfill your request.

By downloading and using the private-beta version of Roolo, you acknowledge the data practices described in our Privacy Policy.

For additional information about the information we collect, how we use it, and applicable privacy rights, please review the Privacy Policy.

4. Eligibility and Account Responsibility

You may use Roolo only if you can legally enter into a binding agreement under applicable law.

If you are under the age at which you can independently agree to these Terms, you may use Roolo only with the involvement and authorization of a parent or legal guardian where required by law.

You are responsible for ensuring that your use of Roolo complies with applicable laws and regulations.

5. License to Use Roolo

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to download, install, and use Roolo for its intended purposes.

This license does not transfer ownership of Roolo or any intellectual property rights to you.

Unless applicable law permits otherwise, you may not:

  • Copy, modify, distribute, or create derivative works of Roolo except as expressly permitted by us or by law;
  • Reverse engineer, decompile, or disassemble the software, except where such restrictions are prohibited by applicable law;
  • Remove or alter proprietary notices or branding;
  • Sell, sublicense, rent, or redistribute Roolo without our prior written permission; or
  • Use Roolo to develop or distribute malicious software or to interfere with the operation or security of other systems.

We reserve all rights not expressly granted under these Terms.

6. Acceptable Use

You agree not to use Roolo to:

  • Violate applicable laws or regulations;
  • Infringe the intellectual property, privacy, or other rights of another person;
  • Attempt unauthorized access to systems, accounts, or data;
  • Distribute malware or engage in fraudulent, deceptive, or abusive activity;
  • Interfere with, disrupt, or compromise the security of our Services or third-party systems; or
  • Circumvent technical restrictions or misuse the Services in ways that could harm Roolo, its users, or others.

You are responsible for how you use Roolo and for ensuring that your use is lawful.

7. AI Output and Limitations

Roolo uses artificial intelligence to generate responses and assist with tasks. AI-generated output may be inaccurate, incomplete, outdated, misleading, or inappropriate for your particular circumstances.

You understand and agree that:

  • AI responses are not guaranteed to be correct or reliable.
  • You should independently verify important information before relying on it.
  • Roolo is not a substitute for qualified professional advice, including legal, medical, financial, or other specialized advice.
  • You are responsible for evaluating AI-generated output and deciding whether to act on it.
  • You should not rely on Roolo as the sole basis for decisions where an error could result in significant harm.
  • You are responsible for reviewing the results of actions you take using Roolo.

8. Your Content

You retain ownership of content you create and provide to Roolo, subject to any rights belonging to other parties.

Roolo is designed to process and store conversations and personal memory locally on your computer. Our private-beta telemetry is not intended to collect this content.

When you initiate a feature that sends information to an external service, such as internet search, the relevant information may be transmitted to that provider as described in our Privacy Policy.

You are responsible for ensuring that you have the necessary rights to any content you provide or process using Roolo.

Nothing in these Terms transfers ownership of your content to us.

9. Third-Party Services

Certain Roolo features rely on third-party services, including our internet search API provider.

Your use of those features may be subject to additional terms, privacy policies, or restrictions imposed by the relevant provider.

We do not control independent third-party services and are not responsible for their availability, content, or privacy practices. Their terms and policies govern your interactions with them where applicable.

We may modify or discontinue integrations when necessary.

10. Updates and Changes to Roolo

We may update, improve, modify, suspend, or discontinue any part of Roolo at any time, including during the private beta.

We may release software updates to improve functionality, performance, compatibility, or security. Some updates may be necessary for continued use of the Services.

We do not guarantee that any particular feature will remain available or that the current beta will transition into a commercial release.

11. Intellectual Property

Roolo, including its software, design, branding, visual elements, documentation, and associated materials, is owned by or licensed to ACLT-INC and is protected by applicable intellectual property laws.

Except for the limited license expressly granted in these Terms, no rights to our intellectual property are transferred to you.

You may provide suggestions, feedback, or ideas about Roolo. You grant us permission to use that feedback to develop, maintain, and improve our products without compensation or obligation to you, to the extent permitted by law.

12. Suspension and Termination

You may stop using Roolo at any time and uninstall the application from your computer.

We may suspend or terminate your access to Roolo if you materially violate these Terms, misuse the Services, create a security risk, or if we discontinue the beta or otherwise determine that continued access is no longer appropriate.

Upon termination, the license granted to you under these Terms ends, and you must stop using the Services and uninstall the application if required.

Uninstalling Roolo does not necessarily delete every item of locally stored application data. You may need to remove remaining application files or data separately.

Sections that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, and applicable dispute provisions, will survive to the extent permitted by law.

13. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Roolo is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory.

We disclaim warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

We do not warrant that Roolo will be error-free, secure in every circumstance, compatible with every system, or capable of meeting every user's requirements.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.

14. Limitation of Liability

To the fullest extent permitted by applicable law, ACLT-INC and its directors, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to your use of, or inability to use, Roolo.

To the fullest extent permitted by applicable law, ACLT-INC's total liability for claims arising out of or relating to the Services or these Terms will be limited to the greater of the amount you paid directly to us for Roolo during the twelve months preceding the event giving rise to the claim or US$50.

These limitations apply only to the extent permitted by law. They do not exclude or limit liability that cannot legally be excluded or limited, including liability where such limitation is prohibited by applicable law.

15. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, and expenses arising from your unlawful use of Roolo, your material violation of these Terms, or your infringement of another person's rights.

Nothing in this section requires you to indemnify us for our own conduct to the extent such an obligation is prohibited by law.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from these Terms or your use of Roolo will be resolved in a court of competent jurisdiction, subject to applicable law and any mandatory consumer protections.

Nothing in these Terms deprives you of rights or remedies that cannot lawfully be waived.

17. Changes to These Terms

We may update these Terms as Roolo develops or our Services change.

When we make changes, we will update the "Last updated" date at the top of this page. Where required by law, we will provide notice of material changes or obtain your agreement.

Your continued use of Roolo after updated Terms become effective constitutes acceptance of the revised Terms only where such acceptance is legally effective. If you do not agree to revised Terms, you must stop using Roolo.

18. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Our failure to enforce a provision does not waive our right to enforce it later.

These Terms, together with the applicable Privacy Policy and any additional terms presented for specific Services, constitute the agreement between you and ACLT-INC concerning your use of Roolo, to the extent permitted by law.

You may not transfer your rights or obligations under these Terms without our written permission, except where such restriction is prohibited by law.
